3. No Financing Guarantee

Submitting an inquiry, referral, financing-review request, or supporting document does not:

  • Constitute approval of financing;

  • Create a commitment to lend or purchase receivables;

  • Guarantee that a financing provider will review the request;

  • Guarantee that any offer will be made;

  • Guarantee a particular advance rate, interest rate, fee, term, structure, or funding amount;

  • Guarantee funding by a particular date; or

  • Create a binding agreement with Kaw Valley Financial or any funding provider.

Commercial-financing decisions depend on factors that may include credit history, business performance, accounts receivable, customer quality, collateral, documentation, liens, taxes, legal claims, industry conditions, underwriting standards, and the independent judgment of a funding provider.

Any financing offer is subject to the provider’s final underwriting, due diligence, documentation, approval, and closing requirements.

4. No Duty to Submit or Place a Transaction

Kaw Valley Financial is not required to:

  • Accept every inquiry;

  • Review every financing request;

  • Submit every request to a funding provider;

  • Contact every potential funding source;

  • Continue working on a request;

  • Negotiate a transaction; or

  • Produce a financing offer.

We may decline, suspend, or discontinue work on an inquiry at any time, including when the request appears incomplete, inaccurate, misleading, unlawful, outside our areas of service, or unlikely to meet a funding provider’s requirements.

5. Broker Compensation

Kaw Valley Financial may receive compensation from a lender, factoring company, finance company, referral partner, service provider, applicant, or another party in connection with an introduction, application, completed transaction, renewal, extension, or other financing-related event.

The amount and structure of compensation may vary by provider and transaction.

The existence of a compensation arrangement does not guarantee that a particular provider or transaction is the best or least expensive option available. Business owners should independently review and compare all proposed rates, fees, terms, obligations, and alternatives before accepting financing.

6. Information You Submit

When submitting information through the website or directly to Kaw Valley Financial, you represent that:

  • The information is accurate and complete to the best of your knowledge;

  • You are authorized to provide the information;

  • The information concerns a legitimate business or commercial purpose;

  • You are not impersonating another person or business;

TO THE FULLEST EXTENT PERMITTED BY LAW, KAW VALLEY FINANCIAL’S TOTAL LIABILITY ARISING FROM OR RELATED TO THE WEBSITE WILL NOT EXCEED THE GREATER OF THE AMOUNT YOU PAID DIRECTLY TO KAW VALLEY FINANCIAL FOR THE WEBSITE-RELATED SERVICE GIVING RISE TO THE CLAIM OR ONE HUNDRED DOLLARS.

This limitation does not exclude liability that cannot lawfully be limited or excluded.

23. Indemnification

You consent to the personal jurisdiction and venue of those courts.

A separate written brokerage, consulting, referral, confidentiality, financing, or service agreement may impose additional terms. If a separate signed agreement conflicts with these Terms of Use, the separate agreement controls concerning its specific subject matter.

These website terms do not modify an agreement between you and an independent funding provider.

31. Electronic Communications

You agree that website submissions and electronic communications may be used in connection with your inquiry.

Electronic records and communications may satisfy requirements that communications be provided in writing, to the extent permitted by applicable law.

You are responsible for maintaining a valid email address and reviewing communications sent to the contact information you provide.
