COMMERCIAL FINANCING BROKER DISCLOSURE

This Commercial Financing Broker Disclosure explains the role of Kaw Valley Digital, LLC, doing business as Kaw Valley Financial (“Kaw Valley Financial,” “we,” “us,” or “our”), when assisting businesses seeking commercial financing.

Please review this disclosure before submitting a financing-review request or proceeding with a financing opportunity introduced by Kaw Valley Financial.

1. Our Role

Kaw Valley Financial is a commercial-finance broker and consultant.

We assist businesses by:

  • Reviewing general financing needs and circumstances;

  • Helping organize information for potential funding sources;

  • Identifying commercial-financing providers that may be willing to consider a transaction;

  • Introducing businesses to selected providers;

  • Facilitating communications and document collection; and

  • Helping business owners understand and compare potential financing structures.

Unless expressly stated otherwise in a separate written agreement, Kaw Valley Financial is not the bank, lender, factoring company, finance company, or other funding provider that supplies the financing.

Kaw Valley Financial does not itself make the final underwriting, credit, approval, pricing, documentation, or funding decision for an independent funding provider.

2. Business-Purpose Financing Only

Kaw Valley Financial assists with financing intended for legitimate business or commercial purposes.

Our services are not intended for personal, family, household, or consumer-purpose borrowing.

By submitting a financing request, you represent that the requested financing will be used primarily for a business or commercial purpose.

3. Types of Financing

Depending on the circumstances, Kaw Valley Financial may introduce a business to providers offering products such as:

  • Invoice factoring;

  • Accounts-receivable financing;

  • Asset-based lending;

  • Business lines of credit;

  • Term financing;

  • Equipment financing;

  • Purchase-order financing;

  • Inventory financing;

  • Private-credit facilities; or

  • Other commercial-financing arrangements.

Some commercial-financing products are loans. Others, including certain factoring or receivables-purchase arrangements, may be structured as purchases of receivables rather than loans.

The legal structure, costs, obligations, and remedies associated with each product can differ substantially.

4. No Guarantee of Approval or Funding

Submitting information to Kaw Valley Financial does not constitute:

  • An approval of financing;

  • A financing offer;

  • A commitment to lend;

  • A commitment to purchase receivables;

  • A guarantee that an application will be submitted;

  • A guarantee that a funding provider will review the request;

  • A guarantee of any funding amount, rate, fee, advance rate, term, or structure; or

  • A guarantee that financing will close by a particular date.

Every funding provider applies its own underwriting standards and makes its own independent decision.

A provider may approve, decline, modify, delay, or withdraw a proposed transaction at any time before closing, subject to its documents and applicable law.

5. No Promise of the Lowest Cost or Best Available Offer

Kaw Valley Financial does not represent or guarantee that:

  • Every possible funding provider will be contacted;

  • Every available financing product will be considered;

  • You will receive the lowest available cost;

  • You will receive the highest available funding amount;

  • You will receive the most favorable terms available in the market; or

  • A proposed financing arrangement is the best option for your business.

The commercial-financing market includes many providers and products that Kaw Valley Financial may not represent, know about, or have access to.

You are free to seek financing independently, contact other brokers, obtain competing offers, and compare alternatives before making a decision.

6. Broker Compensation

Kaw Valley Financial may receive compensation from a lender, factoring company, finance company, or other funding provider when a transaction is introduced, approved, funded, renewed, extended, increased, or otherwise completed.

Compensation may take the form of:

  • A referral fee;

  • A broker commission;

  • A percentage of the financing amount;

  • A percentage of fees or revenue received by the funding provider;

  • A flat fee; or

  • Another compensation arrangement.

The amount and method of compensation may vary by provider, product, transaction size, transaction structure, and other factors.

Because compensation may differ among providers or transactions, Kaw Valley Financial may have a financial interest in the completion of a financing transaction.

Unless disclosed in a separate written agreement, you should not assume that Kaw Valley Financial is evaluating every available provider or acting as an independent fiduciary adviser.

If Kaw Valley Financial charges you a direct brokerage, consulting, packaging, due-diligence, success, or other fee, that fee will be addressed separately before it becomes binding.

7. No Fiduciary Relationship

Unless a separate written agreement expressly states otherwise, Kaw Valley Financial does not act as your fiduciary, attorney, accountant, tax adviser, investment adviser, employee, partner, or agent with authority to bind your business.

Our commercial-financing assistance does not replace independent legal, accounting, tax, or financial advice.

You remain responsible for evaluating whether a proposed transaction is appropriate for your business.

8. Information Shared With Funding Providers

To evaluate or pursue potential financing options, Kaw Valley Financial may share information you provide with selected funding providers and service providers.

Information shared may include:

  • Contact and business-identification information;

  • Requested financing amount and intended use;

  • Revenue and cash-flow information;

  • Accounts-receivable and customer information;

  • Invoice-aging information;

  • Existing debt and financing obligations;

  • Tax, lien, litigation, or collateral information;

  • Bank statements and financial reports;

  • Ownership and guarantor information;

  • Supporting documents; and

  • Other information relevant to a potential transaction.

By requesting assistance, you authorize Kaw Valley Financial to use and share relevant information for the purpose of reviewing, introducing, evaluating, processing, or facilitating potential business financing, subject to our Privacy Policy and any additional authorization that may be required.

Kaw Valley Financial may decide not to submit a request when the information appears incomplete, inconsistent, inaccurate, misleading, unlawful, outside our areas of service, or unlikely to meet a provider’s requirements.

9. Funding Providers Are Independent Parties

Funding providers introduced by Kaw Valley Financial are independent businesses.

Kaw Valley Financial does not control and is not responsible for a provider’s:

  • Underwriting criteria;

  • Approval or denial decision;

  • Rate or pricing;

  • Fees and closing costs;

  • Advance rate;

  • Reserve requirements;

  • Recourse provisions;

  • Personal-guaranty requirements;

  • Collateral requirements;

  • Payment schedule;

  • Contract terms;

  • Verification procedures;

  • Customer-notification procedures;

  • Collection practices;

  • Funding timing;

  • Servicing or account administration;

  • Data-security practices; or

  • Compliance with its legal obligations.

Any financing agreement will be between you and the funding provider identified in the agreement. Kaw Valley Financial is not a party to that agreement unless the documents expressly state otherwise.

10. Preliminary Discussions Are Not Final Terms

Rates, fees, funding amounts, advance rates, estimated proceeds, approval likelihood, transaction structures, and timelines discussed before a written offer are preliminary and subject to change.

An informal estimate, conversation, email, website statement, calculator result, or preliminary term discussion is not a binding offer.

Only the final written documents issued or approved by the funding provider establish the actual terms of a transaction.

11. Review All Transaction Documents

Before signing or accepting a commercial-financing agreement, you should carefully review all documents, including:

  • The total amount of financing or purchase price;

  • The amount of funds actually delivered to the business;

  • Interest, discount, factoring, origination, closing, and other fees;

  • Payment amount and frequency;

  • Estimated or fixed term;

  • Renewal and termination provisions;

  • Prepayment provisions and penalties;

  • Collateral and lien requirements;

  • Personal-guaranty requirements;

  • Recourse and repurchase obligations;

  • Default provisions and remedies;

  • Confession-of-judgment provisions, when applicable;

  • ACH authorization and bank-account access;

  • Customer notification or verification requirements;

  • Minimum-volume or minimum-fee requirements; and

  • Any other obligations imposed on the business or its owners.

Do not sign a document you do not understand.

Consider having an attorney, accountant, or other qualified adviser review the proposed transaction before acceptance.

12. Invoice Factoring Disclosure

Invoice factoring generally involves the sale or assignment of eligible business receivables to a factoring company.

Depending on the agreement:

  • The factoring company may verify invoices with your customers;

  • Customers may be instructed to send payments to the factoring company or a controlled account;

  • A reserve may be withheld until invoices are paid;

  • Fees may increase based on how long an invoice remains unpaid;

  • Your business may be required to repurchase disputed, invalid, or uncollectible invoices;

  • The factoring company may obtain a lien on business assets;

  • Minimum fees or volume requirements may apply; and

  • Personal guarantees or other credit support may be required.

Factoring is not automatically appropriate for every business, invoice, customer, or situation.

13. No Legal, Tax, or Accounting Advice

Information provided by Kaw Valley Financial is general business and commercial-financing information.

It is not legal, tax, accounting, securities, investment, or regulatory advice.

The tax treatment, accounting treatment, enforceability, reporting requirements, and legal consequences of a commercial-financing transaction may depend on your specific circumstances.

Consult qualified professionals before entering into a transaction.

14. State-Specific Requirements

Commercial-financing, lending, brokerage, registration, licensing, and disclosure requirements vary by state and transaction type.

A website disclosure does not replace any transaction-specific disclosure, registration, license, notice, authorization, or prescribed form required by applicable law.

Kaw Valley Financial or the funding provider may provide additional disclosures when required. Those additional disclosures are part of the financing-review or transaction process and should be reviewed carefully.

The availability of a financing product may be limited by the applicant’s location, business location, funding provider, transaction type, transaction amount, or applicable law.

15. No Obligation to Proceed

You are not required to accept a financing offer introduced by Kaw Valley Financial.

Before signing an agreement, you may:

  • Decline the offer;

  • Ask questions;

  • Request clarification;

  • Consult professional advisers;

  • Seek competing proposals; or

  • Discontinue the process.

Once you sign a financing agreement, your cancellation, termination, or prepayment rights will be governed by that agreement and applicable law.

Do not assume that a commercial-financing transaction includes a consumer-style cancellation or rescission period.

16. Applicant Responsibilities

You are responsible for:

  • Providing accurate, complete, and current information;

  • Reading all proposed transaction documents;

  • Understanding the costs and obligations;

  • Determining whether the financing is appropriate for your business;

  • Obtaining independent professional advice when needed;

  • Protecting confidential information and account credentials;

  • Informing Kaw Valley Financial of material changes; and

  • Complying with any agreement you choose to sign.

Submitting false, forged, altered, stolen, or misleading information may cause an inquiry to be declined or discontinued and may expose the responsible parties to legal consequences.

  • Independent funding providers make their own decisions and establish their own terms;

  • Kaw Valley Financial may receive compensation in connection with a completed transaction;

  • Approval, funding, pricing, and timing are not guaranteed;

  • You are free to seek competing financing options; and

  • You are responsible for reviewing and deciding whether to accept any proposed transaction.
